Terms of Service
1. Definitions
In these Terms:
- "Educli", "we", "us", "our" means Educli Pty Ltd (ABN: 22 627 450 122);
- "Service" means the Educli practice management platform accessible at educli.com and associated domains;
- "Subscriber", "you", "your" means the entity or person who has agreed to these Terms;
- "Authorized Users" means individuals authorized by the Subscriber to access the Service;
- "Subscription Data" means all data submitted by or on behalf of Subscribers and their Authorized Users;
- "Documentation" means user guides, help documentation, and other materials provided by Educli;
- "Free Trial" means a limited-time evaluation of the Service at no cost.
2. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using the Service.
These Terms constitute a legal agreement between you and Educli. Your continued use of the Service following any changes to these Terms constitutes acceptance of those changes.
Important: If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. The Service
Platform Components
Educli provides a comprehensive practice management platform including:
- Case Management: Client files, visa applications, and document management
- Compliance Tools: MARA audit trails, ESOS reporting, and regulatory compliance
- Student Management: Enrollment tracking, progress monitoring, and outcome reporting
- AI-Powered Features: Document analysis, form completion assistance, and risk assessment
- Integration Capabilities: Moodle, government systems, and third-party services
- Reporting & Analytics: Practice insights, performance metrics, and compliance reporting
Service Availability
While we strive for maximum uptime, we do not guarantee uninterrupted access to the Service. Planned maintenance will be scheduled during off-peak hours when possible.
4. Eligibility & Accounts
Eligibility Requirements
- You must be at least 18 years of age
- You must have the legal capacity to enter into contracts
- For MARA-specific features, you must hold current MARA registration
- For education provider features, you must hold appropriate CRICOS registration
Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Promptly notifying us of any unauthorized use
- Ensuring Authorized Users comply with these Terms
5. Subscription Plans & Fees
Subscription Tiers
- Essential: Basic case management and compliance tools
- Professional: Advanced features including AI tools and integrations
- Enterprise: Full platform access with dedicated support
- New RMA Launchpad: Specialized package for new migration agents
Payment Terms
- Subscription fees are payable in advance
- Fees are non-refundable except as required by Australian Consumer Law
- Price changes will be communicated 30 days in advance
- Late payment may result in service suspension
6. Free Trials
We may offer Free Trials for evaluation purposes. During Free Trials:
- Access may be limited to specific features or data volumes
- Service levels may differ from paid subscriptions
- We may request payment information before trial activation
- Trials automatically convert to paid subscriptions unless cancelled
- Trial data will be preserved if you convert to a paid subscription
Each organization is eligible for one Free Trial per subscription tier.
7. Subscriber Obligations
As a Subscriber, you must:
- Provide Accurate Information: Ensure all registration and profile information is current and accurate
- Comply with Laws: Use the Service in accordance with all applicable laws and professional obligations
- Maintain Professional Standards: Uphold standards required by MARA, ASQA, TEQSA, and other relevant bodies
- Manage Authorized Users: Ensure all team members understand and comply with these Terms
- Keep Systems Updated: Use supported browsers and maintain reasonable security practices
8. Acceptable Use
You may not use the Service to:
- Violate any laws, regulations, or professional codes of conduct
- Submit false, misleading, or fraudulent information
- Interfere with or disrupt the Service or its security measures
- Attempt to gain unauthorized access to other users' data
- Use automated means to access the Service (except our official APIs)
- Share account credentials with unauthorized individuals
- Upload malicious code, viruses, or harmful content
Violation of acceptable use policies may result in immediate service suspension or termination.
9. AI Features & Limitations
AI-Powered Tools
Our AI features include document analysis, form completion assistance, and compliance checking. These tools:
- Provide suggestions and recommendations only
- Are not a substitute for professional judgment
- May contain errors or inaccuracies
- Should be reviewed by qualified professionals before use
Professional Responsibility
Critical: You remain fully responsible for all professional decisions, advice, and submissions. AI outputs are tools to assist your work, not replace your professional expertise.
10. Data & Privacy
Your use of the Service is also governed by our Privacy Policy. Key points:
- Data Ownership: You retain ownership of your Subscription Data
- Data Protection: We implement industry-standard security measures
- Data Portability: You can export your data in standard formats
- Compliance: We comply with Australian Privacy Principles and relevant data protection laws
We process your data in accordance with Australian privacy law and applicable professional confidentiality requirements.
11. Intellectual Property
Educli Property
The Service, including all software, designs, text, graphics, and other content, is owned by Educli and protected by intellectual property laws. We grant you a limited, non-exclusive license to use the Service during your subscription term.
Your Content
You retain ownership of your Subscription Data. By using the Service, you grant us a license to:
- Store, process, and transmit your data as necessary to provide the Service
- Use aggregated, anonymized data for service improvement
- Create backups and ensure data security
12. Third-Party Integrations
The Service may integrate with third-party systems including:
- Learning Management Systems: Moodle and other educational platforms
- Government Systems: PRISMS, VEVO, and immigration databases
- Payment Processors: Stripe, PayPal, and banking systems
- Communication Tools: Email and SMS services
Third-party services are governed by their own terms and privacy policies. We are not responsible for their availability, security, or practices.
13. Availability & Maintenance
Service Levels
While we target 99.9% uptime, we do not guarantee continuous availability. Service may be interrupted for:
- Scheduled maintenance (typically outside business hours)
- Emergency security updates
- Infrastructure failures beyond our control
- Third-party service disruptions
Planned Maintenance
We will provide reasonable notice of planned maintenance that may affect service availability.
14. Suspension & Termination
Termination by You
- You may cancel your subscription at any time
- Cancellation takes effect at the end of the current billing period
- You remain responsible for fees incurred before cancellation
Termination by Us
We may suspend or terminate your access if:
- You breach these Terms
- Your account becomes overdue
- You engage in prohibited conduct
- Required by law or regulation
Data Retention After Termination
Following termination, we will retain your data for 90 days to allow for reactivation, then securely delete it unless legally required to retain it longer.
15. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantees, warranties, or other rights you may have under the Competition and Consumer Act 2010 (Cth) or other applicable consumer protection laws.
To the extent permitted by law, our liability for breach of a non-excludable consumer guarantee is limited to:
- Re-supply of the services; or
- Payment of the cost of having the services re-supplied
16. Limitation of Liability
To the maximum extent permitted by law:
Exclusion of Certain Damages
We exclude liability for:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, or business opportunities
- Loss of data (where backup and recovery options were available)
- Costs of substitute services
Limitation of Total Liability
Our total liability for all claims arising from or relating to these Terms or the Service will not exceed the amount you paid for the Service in the 12 months preceding the claim.
17. Indemnification
You agree to indemnify and hold harmless Educli, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of applicable laws or professional obligations
- Your infringement of third-party rights
- Any content or data you submit to the Service
18. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of New South Wales.
If you are located outside Australia, you consent to the jurisdiction of New South Wales courts and agree that Australian law governs your use of the Service.
19. Changes to These Terms
We may update these Terms to reflect:
- Changes to our services
- Legal or regulatory requirements
- Industry best practices
Notice of Changes
Material changes will be communicated through:
- Email notification to account administrators
- In-platform notifications
- Updated version number and effective date
Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
20. General
Entire Agreement
These Terms, together with our Privacy Policy and any written agreements signed by both parties, constitute the entire agreement between you and Educli.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Assignment
You may not assign these Terms without our written consent. We may assign our rights and obligations to any third party.
Force Majeure
Neither party will be liable for delays or failures due to causes beyond their reasonable control, including natural disasters, government actions, or infrastructure failures.
